A shareholder dies. The family assumes the shares are theirs and expects to step into the meetings. The surviving shareholders assume the company continues as before.
Neither is right. Shares pass by operation of law to the deceased's personal representative, and that representative cannot deal with them at all until a grant of probate or letters of administration has been extracted. That can take many months. Meanwhile nobody can validly vote those shares, dividends have no clear recipient, and if the deceased was also a director the board may no longer be quorate.
Then the constitution is read properly and more questions appear. Do the directors have discretion to refuse registration. Do pre-emption rights trigger, meaning the family must offer the shares to the other shareholders. Is there a compulsory transfer clause nobody remembered signing.

Do the shares automatically go to the family?
No. They pass first to the personal representative of the estate, who needs a grant of probate or letters of administration before they can deal with them. Only then can the shares be registered in a beneficiary's name, and only if the constitution permits it.
Can the other shareholders refuse to register the family?
Often yes. Many constitutions give directors discretion to decline registration, and pre-emption or compulsory transfer clauses may require the shares to be offered to existing shareholders instead. What the constitution says is decisive, so it should be read before anyone makes assumptions.
How long does this take?
The company-side work is usually quick. The delay is almost always in extracting the grant from the estate, which can run to many months. Where speed matters, the company's own documents can be structured to keep the business operating in the meantime.
What happens if the deceased was also a director?
The directorship ends on death and does not pass to the estate. If the board is left without a quorum, the company may be unable to act at all until the position is fixed. We deal with both issues together.
What if the shareholder is Muslim?
The shares form part of the estate and are distributed according to the applicable rules, which may include faraid, alongside any valid wasiat. That distribution is handled on the personal estate side — we handle the company-side transmission and registration, and coordinate with whoever is administering the estate.
