What if I’m not sure what legal service I need?

Is stamp duty payable on a share transfer?
Generally yes, assessed on the higher of consideration or value. We will advise on the basis and handle the adjudication.
Do other shareholders have to approve?
Often. Pre-emption rights in the constitution or shareholders agreement may require shares to be offered to them first.
Our registers are years out of date. Can this be fixed?
Usually yes. It takes reconstruction and may involve late stamping penalties, but it is far better done now than during diligence.
What is the difference between a transfer and an allotment?
A transfer moves existing shares between people. An allotment creates new ones and dilutes everybody. They follow different processes.
Can shares be transferred for a nominal sum?
You can agree any price, but stamp duty is assessed on value, not on what was paid.
