Expansion by licence looks like the efficient path. Someone else funds the outlet, someone else runs it, and your brand reaches a market you could not have opened yourself.
Then the licensee changes the recipe. Prints their own signage. Opens a second location you never approved. Uses your marks after the term ends, and you discover the agreement never actually said they could not.
Every outlet operating below standard is attributed to you by every customer who walks into it. The brand you licensed out is the brand being damaged.
License Agreement (Brand and Outlet Expansion)
A licence agreement grants defined rights to use your brand, system or intellectual property within an agreed territory, for an agreed term, on agreed standards — with quality control, reporting, audit rights and clean termination that actually stops use of the marks.
Your Vision, Backed by the Right Legal Support
You build the business. We help you protect it.
Picture ten outlets that all look, feel and operate like yours. Standards written down and enforceable. Royalties reported and auditable. A territory map with no overlap. And a termination clause that means what it says on the day you need it.

Important: Limited Slots
A licence is only as strong as the trade mark behind it. If the mark is unregistered, that is worth fixing before rights are granted to anyone.

Frequently Asked Questions
What is Legal That Works?
Legal That Works is a digital-first legal service designed by ASCO LAW (Messrs Akmal Saufi & Co) specifically for business owners and founders. We help you structure, grow, and protect your business through practical legal solutions—delivered fast, in plain English & Bahasa Malaysia, and with no office visit required.
What if I’m not sure what legal service I need?
No problem. Most business owners aren’t legal experts! Just reach out. Our team will guide you to the right service or help you understand your options—without jargon or upselling.
Is this the same as a franchise?
Not necessarily, but the line matters. Franchising in Malaysia is regulated and carries registration obligations. We will tell you which side of the line your arrangement falls on before you sign anything.
Do we need a registered trade mark first?
It is not strictly required but it is far better. Licensing an unregistered mark leaves both you and the licensee exposed.
Can we license to more than one operator in the same area?
Only if the agreement is drafted for it. Exclusivity and territory definition are among the most commonly disputed terms in licence arrangements.
What stops a licensee using our brand after termination?
Post-termination obligations, properly drafted, backed by trade mark rights. This is one of the clauses we spend the most time on.
Can you review a licence we have been offered?
Yes. We act for licensees as well as licensors.
Are your services affordable?
Our transparent fee structure means no billing surprises. Membership unlocks the best rates, but even one-off services are designed to be clear and competitive. You’ll always know what you pay.
Who will be helping me?
All our services are delivered by our licensed lawyers under the Malaysian Bar with proven experience across industries. You’ll work with a real legal team, not chatbots or generic customer support.
Is everything done online?
Yes. Our service is fully digital. You can consult, review documents, sign agreements, and access your files securely from anywhere. No office visit required unless you want to meet in person.
