What if I’m not sure what legal service I need?

Should exclusivity be granted at the start?
If it is, it should be conditional on performance. Unconditional exclusivity removes your only real leverage.
What is retention of title and why does it matter?
It keeps ownership of the goods with you until payment. Its effectiveness depends on drafting and on the facts, but without it you have no proprietary claim over unpaid stock.
Can the distributor register our trade mark?
They can try, and it happens. The agreement should expressly prohibit it, and you should register the mark yourself in the territory.
How do we terminate a distributor who is not performing?
Through performance conditions and clearly drafted termination rights. Without them, termination becomes a negotiation.
Is this the same as an agency agreement?
No. A distributor buys and resells on their own account; an agent sells on yours. The legal and tax consequences differ significantly.
