An agent is appointed to open a market. The arrangement is informal and commission is agreed verbally.
Then the agent commits you to terms you never approved, claims commission on business you won directly, or continues claiming after the relationship ends.
Agency and Representative Agreement
An agency agreement setting the scope of authority, territory and exclusivity, commission basis and when it is earned, obligations on both sides, term and termination, and post-termination commission entitlement.
Your Vision, Backed by the Right Legal Support
You build the business. We help you protect it.

No problem. Most business owners aren’t legal experts! Just reach out. Our team will guide you to the right service or help you understand your options—without jargon or upselling.
How is an agent different from a distributor?
An agent sells on your behalf and you contract with the customer. A distributor buys and resells on their own account.
When is commission earned?
Whatever the agreement says — on order, on delivery or on payment. Silence here is a common source of dispute.
Is commission payable after termination?
Only if the agreement provides for it. It should be addressed expressly either way.
